Portions that have changed are shown in red. - John CONTRACT FOR ECONOMIC DEVELOPMENT SERVICES This agreement is made as of December 31, 2001, between Jefferson County (hereinafter referred to as "County") and the Jefferson County Economic Development Corporation. Inc. (hereinafter referred to as “JCEDC”). WHEREAS the County intends to contract with JCEDC to provide economic development services, and WHEREAS JCEDC has the necessary personnel and facilities to provide the services described, NOW, THEREFORE, for and in consideration of the mutual covenants hereinafter contained, the County and JCEDC do hereby agree as follows: 1. Description of Services: JCEDC shall provide to the County economic development services as described in the memorandum from the JCEDC to the Budget Committee dated December 31, 2001 In connection therewith, JCEDC shall meet quarterly with the Budget Committee to provide detail as to economic development activities undertaken in accordance with this contract, and shall make an annual report to the County Board in August. JCEDC shall provide a copy of its projected animal budget to the Budget Committee after its adoption. 2. Term: This contract shall be for the period January 1, 2002, through December 31, 2002. This contract shall automatically renew for successive one year terms on the same terms and conditions contained herein including compensation in the amount budgeted by the County Board for any successive year unless either party serves written notice upon the other not later than fifteen (15) days before the expiration of the initial or any subsequent renewal term that such party will not renew. Notices shall be served by first class mail as follows:
3. Compensation: The County shall pay JCEDC the sum of Seventy-one Thousand and 00/100 Dollars ($71,000.00) in four (4) equal quarterly installments. The first payment shall be due within ten (10) days of execution hereof by the parties. Thereafter, payment shall be due April 1, July 1 and October 1 (and January 1, if renewed). 4. General Provisions: (a) This agreement may be amended only by a written instrument signed by both parties. (b) Unless otherwise terminated by notice in advance of expiration, this agreement may be terminated by either party if the other party fails to fulfill its obligation under this agreement through no fault of the terminating party. No such termination may be made unless the other party is given not less than ten (10) calendar days written notice of intent to terminate and an opportunity to correct the default. In addition, the County may terminate this agreement for legal or financial cause in the County's sole determination upon not less than thirty (30) days notice. (c) JCEDC is an independent contractor and not an agency or employee of the County. (d) For all purposes including but not limited to SS 19.35 and 19.36(3), Stats., the only records “produced or collected” under this contract shall consist of the quarterly and year-end reports to the County Board and Budget Committee; Annual Strategic Planning Summary Report; compilation report summarizing results of business retention surveys; and countywide marketing materials expressly identified in the Memorandum. No other records or information maintained by JCEDC shall be deemed to have been “produced or collected” under this contract, and JCEDC has no obligation to produce any such records or information to Jefferson County under this contract. (e) In the event an open record request is made to Jefferson County, or an open record lawsuit is filed against Jefferson County, for any JCEDC records or information other than those items expressly identified in the first sentence of subparagraph (d), Jefferson County will deny such request, and defend such lawsuit, in accordance with subparagraph (d). At its option, JCEDC may participate in or take over the defense of any such lawsuit. In the event a final determination is made in any such lawsuit that the requested records are subject to disclosure under SS 19.35, Stats., JCEDC will indemnify Jefferson County, its officers and employees, and save such indemnified parties harmless from losses, costs or expenses directly attributable to Jefferson County's defense of such lawsuit, including, without limitation by enumeration, attorneys fees, insurance deductibles, forfeitures and court costs. Jefferson County may exercise a right of setoff of sums due to Jefferson County under this subparagraph against payments due to JCEDC under this contract. MEMORANDUM To: Jefferson County Budget Committee Date: 2002 Contract Re: Economic Development Contract with Jefferson County The economic development services to be provided by the JCEDC, under contract with Jefferson County, will consist of the following:
Organizational Development Activities 1. Coordinate economic development efforts, with, but not limited to, the following agencies.
9. Provide calendar quarterly and year-end reports to the County Board and Budget Committee. 10. Provide County Board with copy of JCEDC Annual Strategic Planning Summary Report. 11. Participate on committees as assigned by the Budget Committee or County Board. Business Retention Assistance 1. Conduct an on-going business visitation program designed to identify the issues and concerns of local employers. 2. Prepare a compilation report to the County. 3. Direct businesses to training, technology and financing resources. (Dept. of Commerce Block Grant Funds, local revolving loan funds and countywide revolving loan opportunities.) 4. Work with Mayors, City Administrators and local economic development professionals to develop and implement marketing strategy to attract businesses to industrial parks. 5. Assemble and provide information for companies considering expansion or new branch facilities 6. Track labor market conditions in Jefferson County, various sources, State, Center, UW Extension. (In the past, produced 1996 and 2000 Labor Market Survey in cooperation with University Extension, Jefferson Rural Sociology Dept, Jefferson County Hunan Resource Management Association and MATC). Business Attraction Activities and Small Business Assistance 1. Retain and attract quality businesses to communities through joint marketing efforts with local communities. In the past, communities cooperated on marketing brochures and print ads. 2. Provide assistance through the production of customized proposals to businesses interested in 3. Design and produce countywide marketing materials. 4. Attend trade shows with Forward WI (state of WI marketing arm) informing companies of the advantage of doing business in Wisconsin and Jefferson County. 5. Direct small businesses/entrepreneurs to financial and educational resources, Small Business Development Center, UW-Whitewater, UWEX, MATC, local accountants, attorneys. 6. In cooperation with IJWEX and Steve Grabow, work to develop educational materials and courses “Retail Trade Study”, Tourism strategic planning sessions, Marketing sessions, Customer service a Labor Studies Develop Retail Training Program Workforce Development Activities I Serve on Workforce Development Steering Committee, market education/training services in Center, representing employer needs. 2 Cosponsor Employer breakfasts to obtain employer input on training needs, input on allocation of Workforce Investment Board program dollars. 3. Provide training facilities, expertise and materials for HOME Consortium Homebuyer Program and Down Payment Assistance Program. $3,000 grants for income eligible homebuyers. 4. Meet with lenders to increase their participation in HOME programs within Jefferson County. 5 Serve on HOME Consortium (4 county) Board as Vice Chair to represent community interests in HOME program. 6. Schedule meetings with cities and villages to update on HOME program. Communitv Development Activities I. Host/sponsor annual breakfast for area real estate brokers to educate on economic development challenges. 2. Presentations ED issues and challenges. (Rotary, Chambers, Town Boards, City Councils, County Board, Project Lead and community groups and business community.) 3. Work directly with City or Village Administrators on local project as requested. 4. Serve on the Watertown Mainstreet Program, Economic Restructuring Committee, to share expertise and provide guidance to volunteer group. 5. Plan training sessions with Chambers to educate local businesses on ways to increase profits. 6. Member of Jefferson Rotary, Fort Atkinson Chamber, Watertown Mainstreet Program RESOURCES In providing the services described in this Memorandum, JCEDC may rely on some of all of the following information which is maintained by JCEDC; however, for all purposes, including but not limited to the ¤¤ 19.35 and 19.36(3), Stats., this information is not part of the Contract for Economic Development Services between JCEDC and Jefferson County, this information shall not be deemed to have been “produced or collected” under that contract; and JCEDC has no obligation to produce any of this information to Jefferson County under that contract:
