Dear Phil,

I am sorry that it seems to be taking so long to get this contract and memorandum back to you, but the Holidays, vacation, sickness, health challenges with our Board President and other such issues have made it difficult to get everyone together or get responses to communications. (Thank you for having Connie email the contract to my home.)

After a long Holiday, the JCEDC Executive Committee met on Tuesday, January 8 to review your input and some changes recommended from our attorney. Attached is the contract with the indemnification clause, however, Atty Gordon expanded on it. Also, per numerous discussions at Budget Committee Meetings and written communications, some of the items in the memorandum were reworded for clarification purposes. It does not appear to deviate from the intent of our services but rather clarify for all parties concerned.

After your review we can have Sheldon Mielke and Bill Hausen sign the contract.

Thank you again for your follow up in December and your tracking of this contract situation. The JCEDC looks forward to working with you and the County Board in 2002.
